2013 SHASTA LILY QUILT GUILD BYLAWS
Article I: Name and Purpose
Section 1. The name of this organization shall be the Shasta Lily Quilt Guild.
Section 2. The purpose of this organization shall be to foster and promote the art of quilting through activities designed to improve the common good and general welfare of the membership and the community. The Guild shall encourage a high standard of quilting and fiber art design and technique through conducting workshops and classes and funding scholarships to local youth. The Guild shall participate in charitable projects making quilts to provide warmth and comfort to those in need. It shall encourage the preservation and conservation of fine quilts, antique and contemporary, for generations to come; and provide an atmosphere for the membership to enjoy the social aspects of quilting.
Section 3. It is the intent of the Guild to operate as a tax exempt non-profit organization within the meaning of Internal Revenue Code section 501(c)(4) and California Revenue and Taxation Code section 23701f. Individual members of the Guild shall not profit therefrom. The property of the organization is irrevocably dedicated to social welfare purposes and no part of the net income or assets of this organization shall ever inure to the benefit of any director, officer or member thereof or to the benefit of any private persons.
Article II: Officers and Board of Directors
Section 1:
A. The Board of Directors shall consist of President, Vice President, Secretary, Treasurer, and Quilt Show Chair. These Officers, with one to three Members at Large, will make up the Board of Directors. Each term of office will be for one year, and not to exceed two consecutive years except with the consent of the membership.
B. The Website Editor, if not the Secretary, will also be a member of the Board of Directors. That term of office will not be limited to two consecutive years.
C. The Board of Directors shall meet as necessary and report at the general membership meetings.
D. All officers/Board members shall be members.
Section 2: A slate of candidates shall be presented to the membership in October. Elections shall be held at the Novembermeeting for the new term of office to begin the following January.
Section 3:
A. The duties of the President shall be to preside at all meetings of the Guild and of the Board, appoint committee chairs as necessary, serve as ex-officio member of all committees, and to perform such other duties as are incidental to the office.
B. The duties of the Vice-President shall be to perform, in the absence of the President, the duties of the President.
C. The Secretary shall record the minutes of the Board and General Membership Meetings and distribute these minutes to the membership via e-mail. The Secretary may also serve as Newsletter Editor, if required.
D. The Treasurer shall act as custodian of the funds, collect dues and other income, and present an itemized account of receipts and disbursements at each business meeting.
E. The duties of the Quilt Show Chair shall be to oversee the activities of the biennial Quilt Show including establishing committees and appointing chairpersons.
F. The duties of the Website Editor shall be to update and maintain the Guild website by posting information and photos promoting Guild activities.
G. The Board of Directors shall create an annual budget and activity plan to be approved by the general membership
H. The Board of Directors meetings are open to all members, with voting privileges restricted to Board Members. A quorum of the Board is constituted when at least 51% of the Board Directors are present.
I. Board Directors serve on a voluntary basis without compensation for services.
Article III: General Membership Meetings
Section 1: Business meetings shall be held once a month at a place chosen by the membership. Other meetings, workshops and “sew days” shall be held at the discretion of the Guild President or her designee. The membership shall be notified of all meetings through e-mail notices and postings on the Guild website.
Section 2: A quorum for conducting business shall be five members, with decisions to be reached by a simple majority vote.
Article IV: Membership
Section 1: Membership shall be open to all interested persons and shall not discriminate regardless of race, color, creed, national origin and ancestry, sex, marital status, disability, religious or political affiliation, or sexual orientation.
Section 2: The term “member” shall mean a person who has paid dues for the calendar year.
Article V: Dues
Annual dues shall be payable in January of each year. The amount shall be determined by the membership. Membership shall be delinquent if not paid by the March meeting.
Article VI: Amendments
These bylaws may be amended or repealed at any regular meeting by a majority vote of the membership, provided the proposed amendment is given to the membership in writing by email prior to the meeting at which the vote is taken.
Article VII: Dissolution
In the event of dissolution of the Shasta Lily Quilt Guild, all assets remaining after payment, or provision for payment, of all debts and liabilities of this organization shall be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for social welfare purposes and which has established its tax exempt status under Section 501(c)(4) of the Internal Revenue Code.
These bylaws reflect action taken following their adoption in May of 1980 and amended November 1, 2001, February 2008, March 2012 and October 3, 2012.
